Pro Tip:
Create one main folder for your "Data Room." Create sub-folders for "Financials," "Legal," "Product," etc. Share the link to the main folder with trusted investors.

Pitch Deck - 10-15 slides introduction
Close Deck - with additional details to elaborate on data and evidence not presented in the Introduction deck (may also be included as an appendix)
Executive Summary - 2-3 paragraphs on the business, how you make money, who pays you, what service or product you provide and where the company is headed

Balance Sheet for the past 12 months
P&L for the past 12 months
Statement of cashflows for existing businesses
Forecast Financial model
Sales by product SKU or category YOY/MOM
Sales by Channel B2B VS B2C. P&L by class if available
Inventory on hand and projected
Cash flow runway analysis if available
COGS model
Variable Fulfillment cost model
Fixed Overhead cost model
Marketing cost model

Copies of any signed LOIs, POs, etc. from customers or partners
List of POs/LOIs with projected values, close dates, and likelihood percentages
CRM data if available
Signed Distribution or sales agreements if available

Cap table (with last names and contact info redacted)
Articles of Organization
Bylaws
Operating Agreement
Charter
Stock plans, compensation, etc.

Full investment document (SAFE, Convertible note, Equity, term sheet)
Signature packet only
Wire instructions or means of making investment

Patents, non-provisionals, provisionals, PCT if available
If patent pending, list dates applied and number of claims
Types of patents: utility/design/etc.
Trademark and/or Wordmark
Certifications (UL, FCC, GMP, etc.)
Patent search

Ad audits
Market studies or research
SWOT analysis

Bios of Founders
Board members
Advisors
Executive team

Terms and conditions
List of all key vendors and third party manufacturers/partners
Regulatory or compliance processes summary with fixed and recurring expenses
Warranty policies
Owned or leased equipment and tooling
If raising funds for equipment or tooling, include breakdown of itemized costs and budget
